COMPANY POLICY

Any order for electric vehicle which is placed with CENGO ("Seller"), regardless of how placed, is subject to these terms and conditions. Any future contracts regardless of how placed, will also be subject to these terms and conditions. All details of orders for golf cars, commercial utility vehicles and personal-use transportation will be confirmed with Seller.

Unless otherwise specified on the face hereof, delivery of products to a carrier at Seller's plant or other loading point shall constitute delivery to Buyer, and regardless of shipping terms or freight payment, all risk of loss or damage in transit shall be borne by Buyer. Claims for shortages, defects or other errors in delivery of products must be made in writing to Seller within 10 days after receipt of shipment and failure to give such notice shall constitute unqualified acceptance and a waiver of all such claims by Buyer. 

Buyer shall specify in writing the method of shipment preferred, in the absence of such specification, Seller may ship in any manner it elects. All shipping and delivery dates are approximate.

Any prices quoted are F.O.B., Sellers plant of origin, unless otherwise agreed to in writing. All prices are subject to change without notice. Full payment is required, unless otherwise agreed in writing. If Buyer fails to pay any invoice when due, Seller may at its option (1) delay further shipments to Buyer until such invoice is paid, and/or (2) terminate any or all contracts with Buyer. Any invoice that is not paid in time shall bear interest at the rate of one and one-half percent (1.5%) per month from the due date or the highest amount allowed by applicable law, whichever is less. Buyer shall be responsible for and shall remit to Seller all costs, expenses and reasonable attorney fees incurred by Seller in obtaining payment of any invoice or portion thereof.

No order may be canceled or altered or delivery deferred by Buyer except on terms and conditions acceptable to Seller, as evidenced by Seller's written consent. In the event of such approved cancellation by Buyer, Seller shall be entitled to the full contract price, less any expenses saved by reason of such cancellation.

For the CENGO golf cars, commercial utility vehicles and personal-use transportation, the sole Seller warranty is that for twelve (12) months from delivery to Buyer the battery, charger, motor and control have been manufactured in compliance with the specifications for those parts.

golf cars, commercial utility vehicles and personal-use transportation may not be returned to Seller for any reason after delivery to Buyer without written approval of Seller.

Without limiting the generality of the foregoing, Seller specifically disclaims any liability for property damage or personal injury damages, penalties, special or punitive damages, damage for lost profits or revenues, loss of use of products or any associated equipment, cost of capital, cost of substitute products, facilities or services, downtime, shut-down costs, recall costs, or any other types of economic loss, and for claims of Buyer’s customers or any third party for any such damages.

Seller expends considerable resources to develop, acquire and safeguard its Confidential Information. Any Confidential Information that is disclosed to Buyer is disclosed in the strictest confidence and Buyer shall not disclose any Confidential Information to any person, firm, corporation or other entity. Buyer shall not copy or duplicate any Confidential Information for its own use or benefit.
